Terms of Service

Acceptance of Terms

By accessing or using NSpicker, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and NSpicker ("NSpicker," "we," "us," or "our"), governing your access to and use of the website located at nspicker.com and all associated tools, features, and content (collectively, the "Service").

Your use of the Service, including any free tier access, constitutes acceptance of these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

Service Description

NSpicker is a resale price intelligence tool that provides market price estimates for secondhand goods based on aggregated sales data. The Service includes:

The Service is intended for use by individual resellers, pickers, pawn operators, and small business owners engaged in the lawful purchase and resale of secondhand goods.

Eligibility

You must be at least 13 years of age to use the Service. If you are located in the European Economic Area (EEA), you must be at least 16 years of age, or have verifiable parental consent. By using the Service, you represent and warrant that you meet the applicable age requirement.

You must not be barred from receiving services under the laws of the United States or any other applicable jurisdiction. You agree to provide accurate information when using the Service and not to misrepresent your identity or affiliation.

Accounts and Access Tiers

The Service is offered in multiple access tiers:

Connected accounts use approved sign-in providers and first-party session/token handling. You are responsible for maintaining the confidentiality of any account access you use with the Service. You agree to notify us immediately at support@nspicker.com if you suspect unauthorized use of your account.

We reserve the right to modify tier features, limits, and pricing with reasonable notice. Continued use of the Service after notice of such changes constitutes acceptance.

Payments and Subscriptions

Paid tiers are billed through Stripe, a third-party payment processor. By purchasing a subscription, you agree to Stripe's Terms of Service. NSpicker does not store your payment card details.

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel at any time through the account management interface or by contacting support@nspicker.com.

Refunds. Subscription fees are non-refundable except where required by applicable law. If you believe a charge was made in error, contact us within 14 days of the charge at support@nspicker.com and we will review your request in good faith.

Free trial periods, if offered, convert automatically to paid subscriptions at the end of the trial unless cancelled. You will receive notice before conversion.

Pricing Data Disclaimer

NSpicker provides market price estimates for informational purposes only. No price displayed constitutes a guarantee of actual sale value, investment advice, or appraisal.

Price estimates are derived from aggregated historical and near-real-time secondary market data. Results reflect past market activity and are subject to significant variation based on:

NSpicker expressly disclaims responsibility for any financial loss incurred as a result of reliance on price estimates. You assume sole responsibility for all purchase, sale, and valuation decisions made using or informed by the Service.

Confidence indicators (HIGH / MED / LOW DATA) reflect data volume and recency, not accuracy guarantees. A HIGH DATA badge indicates more comparable sold listings were available, not that the estimate is correct for any specific item.

Acceptable Use

You agree not to use the Service to:

Intellectual Property

All content, design, code, trademarks, logos, and data compilations on the Service are the exclusive property of NSpicker or its licensors and are protected by applicable copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. This license does not include:

User Content. Any item names, search queries, or other content you submit to the Service remain yours. By submitting content, you grant NSpicker a worldwide, royalty-free license to use, store, and process that content solely for the purpose of providing and improving the Service.

Feedback. If you provide suggestions or feedback about the Service, you grant NSpicker the right to use that feedback without obligation or compensation to you.

NSpicker is not responsible for the practices, terms, or availability of third-party services. Links to third-party sites are provided for convenience; their inclusion does not constitute endorsement.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

To the fullest extent permitted by law, NSpicker expressly disclaims all warranties, including but not limited to:

Some jurisdictions do not allow exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the maximum extent permitted by law.

Limitation of Liability

To the fullest extent permitted by applicable law, NSpicker and its officers, directors, employees, agents, and licensors shall not be liable for:

In no event shall NSpicker's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service exceed the greater of: (a) the total amount you paid to NSpicker in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if NSpicker has been advised of the possibility of such damages. Some jurisdictions do not permit certain liability exclusions; in those jurisdictions, liability is limited to the maximum extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless NSpicker and its officers, directors, employees, agents, and licensors from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

NSpicker reserves the right to assume exclusive control of any matter subject to indemnification at your expense. You agree not to settle any such matter without NSpicker's prior written consent.

Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, effective immediately. Grounds for termination include, but are not limited to, violation of these Terms, abusive behavior, fraud, or non-payment of fees.

You may discontinue use of the Service at any time. To cancel a paid subscription, follow the cancellation process within the Service or contact support@nspicker.com.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination — including Sections 6, 8, 10, 11, 12, and 14 — will survive.

Device-side browser storage retained by NSpicker remains on your device until you clear it through your browser settings. Synced account data may remain on our systems in accordance with our retention and legal obligations.

Governing Law and Disputes

These Terms are governed by the laws of the State of Oregon, United States, without regard to its conflict of law provisions.

Informal Resolution. Before initiating formal proceedings, you agree to contact us at support@nspicker.com and give us 30 days to attempt to resolve the dispute informally.

Binding Arbitration. If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA), conducted in English. The arbitration will be held in Portland, Oregon, or conducted remotely if both parties agree. The arbitrator's award is final and binding.

Class Action Waiver. You and NSpicker waive any right to participate in a class action lawsuit or class-wide arbitration. All claims must be brought in your individual capacity.

EU/UK Users. Nothing in this section prevents EU or UK residents from bringing claims before competent courts in their country of habitual residence or from exercising statutory rights that cannot be waived by contract.

Small Claims. Either party may bring an individual action in small claims court for claims within that court's jurisdiction.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page. For significant changes, we will provide additional notice (such as a prominent notice on the Service or an email if we have your address).

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service before the effective date.
